Terms & Conditions of Sale Policy
By placing an order with the Company, the customer ("Customer") agrees to be bound by these terms and conditions.
Product Information:
a. The Company strives to provide accurate and up-to-date product information on its website and any other sales channels.
b. The product descriptions, specifications, pricing, and availability are subject to change as we continue to improve and optimize our offerings.
c. Product images are representative only and may vary from actual products. Color variations in digital product images may result due to display settings.
d. The Company reserves the right to modify or discontinue any product at any time.
Early Release Products and Feedback:
a. Certain products may be identified as "early release" versions, for which the Company requests customer feedback.
b. By providing any feedback, suggestions, recommendations, or other input ("Feedback") regarding early release products, the Customer irrevocably assigns to the Company all rights, title, and interest in and to such Feedback, including all intellectual property rights therein.
c. The Company shall have the unrestricted right to use and implement any Feedback without any compensation, attribution, or other obligation to the Customer.
d. The Customer agrees to execute any documents reasonably requested by the Company to perfect the Company's ownership of such Feedback.
Ordering and Accepting:
a. An order is considered as placed when all required and requested information has been provided by the Customer.
b. By placing an order, the Customer makes an offer to purchase the selected product(s) under these terms and conditions. The Company reserves the right to accept or reject any order at its discretion. The Company will send an email communication to the contact email address provided within two (2) business days of receiving an order, either confirming the order or providing backorder status.
c. The acceptance of an order is deemed complete when the Company ships the order. The Company may cancel an order if a product is out of stock, discontinued, or for any other reason. The Customer will be immediately notified via email or phone of an order cancellation.
Pricing and Payment:
a. All prices are listed in USD.
b. Payment is due at the time of order placement unless otherwise agreed upon in writing. The Company accepts purchase orders from qualified customers, upon approval of which an invoice will be issued. For new customers submitting purchase orders, the Company reserves the right to conduct a credit check and/or require payment in advance before processing the order or shipping any products. Credit terms, when granted, will be specified in writing and must be adhered to for continued purchase order privileges.
c. The Company accepts the following payment methods: credit cards, debit cards, payment of invoice by check or EFT. Additional fees such as transaction fees or currency conversion fees may apply.
d. All prices are exclusive of all excises, sales, use, transfer, VAT and other taxes and duties imposed with respect to MEDNA products or services by any federal, state, municipal or other governmental authority, all of which must be paid by the customer.
e. Shipping costs are calculated at time of shipment.
f. Payments for international orders are collected before shipping.
Shipping and Delivery:
a. The Company will send email communication with the expected ship date and additional communication with the packing tracking information when the package has shipped.
b. The Company will make reasonable efforts to ship the ordered product(s) within the estimated timeframe communicated. However, delivery times are approximated and may vary due to factors beyond the Company’s control.
c. The risk of loss or damage to the product(s) passes on to the customer upon delivery.
d. The Company is not responsible for any loss or damage that occurs during shipping.
e. Important Shipping Disclaimer: We highly recommend selecting a shipping carrier that is able to replenish dry ice during transit in the event of a delay. MEDNA Bio is not responsible for delays caused by the shipping carrier, customs clearance, or other circumstances occurring after the shipment has been dispatched. The customer assumes responsibility for selecting a carrier capable of properly handling and maintaining the shipment during transit.
We also strongly recommend providing all required customs documentation to the carrier electronically prior to shipment, whenever possible. Providing the necessary paperwork in advance may help expedite the customs clearance process and reduce the risk of delays.
Please be advise that orders will not be replaced or refunded due to shipping delays, customs delays, or delays resulting in the depletion of dry ice during transit. Customers are responsible for working directly with their selected carrier regarding any shipping or customs-related delays.
By proceeding with the order, the customer acknowledges and accepts the international shipping terms and responsibilities outlined above.
Installation and Training:
a. Some MEDNA products may require installation, training, or on-site support.
b. If applicable, installation and training will be provided by the Company and may be subject to additional charges. Please contact us for availability and scheduling.
Technical Support:
We are committed to supporting your success with our products. If you experience technical issues, please contact our support team at support@mednabio.com. Our team will work with you to resolve the issue promptly.
Customer Communications:
a. By providing your email address, phone number, or other contact information, you consent to receive communications from the Company regarding your orders, account, and our products and services.
b. The Company may send you important notifications about changes to these Terms & Conditions via email. It is your responsibility to keep your contact information current.
c. You may opt out of marketing communications at any time, though we reserve the right to continue sending transaction-related and account communications.
d. Electronic notifications and communications shall have the same legal effect as if they were in paper form.
Order Cancellations:
Orders may only be cancelled for full refund 24 hours prior to the scheduled shipment date, after which the Company may deduct costs incurred. To cancel, contact our customer support team either by phone at 469-250-4424 or email at support@mednabio.com. Refunds will be processed within two weeks of order cancellation.
Returns and Refunds:
a. The Company has a Returns & Replacements Policy that governs the conditions under which products can be returned and refunded. Please refer to the Company’s separate Returns & Replacements Policy for more detailed information.
b. The Customer is responsible for any return shipping costs unless the return is due to a defect or error on part of the Company.
Privacy:
We use the information collected during the order process to provide you with the requested products or services, respond to your inquiries, and improve our website's functionality and user experience. The Company’s full Privacy Policy may be viewed here. In addition, our website may contain links to third-party websites or services. We are not responsible for the privacy practices or content of those websites. We encourage you to review the privacy policies of any third-party websites you visit.
Intellectual Property:
a. All content on the Company's website, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, and software, is the property of the Company or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.
b. The Customer agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Company's products or website without express written permission from the Company.
Software License:
a. Any software provided by the Company, whether embedded in products, downloaded, or otherwise distributed, is provided under the applicable license agreement for that specific software ("License Agreement") and not under these Terms & Conditions.
b. The purchase of any instrument, device, or hardware does not constitute the sale of any software included with or within that product.
c. The Customer's use of software is governed exclusively by the applicable License Agreement, which must be accepted by the Customer before using the software.
d. Unless expressly stated in the applicable License Agreement, software is licensed, not sold, and the Company retains all rights not expressly granted to the Customer.
Product Use Disclaimer:
Unless otherwise stated, all products are intended for research use only and are not to be used for diagnostic or therapeutic purposes. It is the Customer’s responsibility to ensure compliance with local regulations and intended use.
Warranty:
a. The Company warrants that its products shall be free from material defects in materials and workmanship under normal use for a period of time defined in the Returns & Replacements Policy.
b. This warranty does not cover damage resulting from misuse, negligence, accidents, alterations, or improper handling or storage.
c. To make a warranty claim, the Customer must contact our customer support team at support@mednabio.com with proof of purchase and a detailed description of the defect.
d. The Company's sole obligation under this warranty shall be, at its option, to repair or replace the defective product, or to refund the purchase price.
e. THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability:
a. To the extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the sale, use, or inability to use the product(s).
b. The total liability of the Company, if any, shall be limited to the purchase price paid by the Customer for the specific product(s) giving rise to the claim.
Force Majeure:
a. The Company shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government action, strikes, labor disturbances, power failures, or internet disruptions.
b. In the event of such delay or failure, the Company shall notify the Customer and resume performance as soon as reasonably possible.
Severability:
If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
Waiver:
No waiver of any term of these Terms & Conditions shall be deemed a further or continuing waiver of such term or any other term, and the Company's failure to assert any right or provision under these Terms & Conditions shall not constitute a waiver of such right or provision.
Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, USA. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in the United States.
Updates to Terms:
a. The Company reserves the right to update or modify these Terms & Conditions at any time without prior notice.
b. Changes to these Terms & Conditions will be effective immediately upon posting on the Company's website.
c. The Customer's continued use of the Company's services following the posting of revised Terms & Conditions means that the Customer accepts and agrees to the changes.
Entire Agreement:
These terms and conditions constitute the entire agreement between the customer and the Company regarding the purchase of products. Any prior agreements, understandings, or representations, whether oral or written, are superseded by this Agreement.
